Lead360 Terms and Conditions

The agreement governing access to and use of Lead360 services, accounts, communications, automations, AI features, billing, and customer responsibilities.

Effective August 29, 2026Updated August 29, 2026
Summary

These Terms form a binding agreement between the customer and Lead 360 Marketing LTD. They allocate responsibility for the Lead360 service, Customer Data, communications, integrations, and automated features.

Agreement and contracting entity

These Terms and Conditions govern access to and use of Lead360, including its websites, applications, CRM, communications, automation, commerce, Ask360, Sales360, developer, collaboration, hosting, and related services. The service provider is Lead 360 Marketing LTD., a Canadian corporation, referred to as Lead360, we, us, or our.

By creating an account, accepting an order, clicking to accept, or using the service, the customer agrees to these Terms. If an individual accepts on behalf of a company or other organization, that individual represents that they have authority to bind that organization. An order form, checkout record, service schedule, or written agreement may add commercial terms. If there is a conflict, a signed order form controls for that order, followed by the Data Processing Addendum for processing matters, then these Terms and the incorporated policies. If a person participates in the Lead360 Affiliate Program, the Affiliate Program Terms and Policy also apply and control for program attribution, commission, promotion, and payout matters.

Important

Lead360 provides business software, not legal, medical, financial, tax, or regulatory advice. Customers remain responsible for reviewing their use of the service with qualified advisers and for complying with laws that apply to their business, industry, location, and communications.

Eligibility and account authority

A customer must be legally capable of entering a contract and must use the service for lawful business purposes. Consumer users must be at least the age of majority where they live. The service is not directed to children.

  • Provide accurate account, billing, and business information.
  • Keep account credentials confidential and use reasonable access controls.
  • Assign permissions only to authorized personnel and promptly remove access that is no longer needed.
  • Notify Lead360 promptly of suspected unauthorized access, credential compromise, or account misuse.
  • Remain responsible for users, contractors, connected applications, and actions taken through the customer account.

The service and service changes

Lead360 provides a configurable business platform. Features may include customer relationship management, websites and forms, calendars, conversations, phone and messaging, campaigns, payments, automation, collaboration, Ask360, Piece Studio, Memory Brain, Sales360, APIs, MCP gateways, and third-party integrations. Availability depends on the plan, location, provider eligibility, configuration, and product status.

We may improve, replace, limit, or discontinue features. We will use reasonable efforts to give advance notice of a material reduction to a paid core feature when practical. Beta, preview, candidate, experimental, and early-access features may change or stop without notice and are provided for evaluation.

Customer Data and lawful instructions

Customer Data means information, content, records, files, communications, prompts, instructions, websites, credentials, and other material submitted to or processed through a customer account. As between the parties, the customer retains its rights in Customer Data. The customer grants Lead360 a limited right to host, copy, transmit, transform, display, and otherwise process Customer Data only as needed to provide, secure, support, and improve the contracted service, comply with documented instructions, and meet legal obligations.

The customer represents that it has all rights, notices, consents, permissions, and lawful bases needed for Customer Data and for the processing it directs. The customer must not direct Lead360 to collect, use, disclose, enrich, record, profile, or communicate with a person unlawfully. Lead360 may reject or suspend an instruction that appears unlawful, unsafe, technically unsupported, or inconsistent with these Terms.

Communications, consent, and recording

The customer is the sender or caller for communications initiated through its account unless an order expressly states otherwise. The customer is responsible for consent, identification, permitted calling hours, do-not-contact rules, message content, recording notices, opt-out handling, and evidence of compliance. The Communications Policy is incorporated into these Terms.

  • Do not send marketing email, SMS, messaging-app content, or automated calls without the consent or other lawful basis required in each destination.
  • Include sender identification and a working unsubscribe or opt-out mechanism where required.
  • Honor STOP, unsubscribe, revocation, and do-not-contact requests across Lead360 and every connected provider.
  • Obtain recording consent before recording calls, meetings, screens, or voice content where required.
  • Keep evidence of consent, disclosure, source, date, method, and withdrawal.

AI and automated features

Ask360, Sales360, Piece Studio, content generation, scoring, recommendations, summaries, and similar features may use machine learning, language models, rules, or automated processing. The AI Product Terms are incorporated into these Terms.

AI outputs may be incomplete, inaccurate, offensive, outdated, or unsuitable. Customers must review outputs before relying on or sending them. Customers must provide clear disclosure when an end user is interacting with an automated or AI-assisted system and must not configure a bot to falsely claim it is human. AI outputs are not professional advice and must not be used as the sole basis for medical, legal, financial, employment, housing, credit, insurance, education, immigration, or other consequential decisions.

Third-party services and connected accounts

Customers may connect Lead360 to telecommunications, payment, calendar, social, advertising, automation, model, commerce, storage, or other third-party services. Third-party services are governed by their own terms, privacy practices, fees, eligibility rules, and availability. The customer authorizes Lead360 to exchange data with a connected service as directed by the customer.

Lead360 is not responsible for a third party changing, restricting, suspending, or ending its service, rejecting a campaign, withholding funds, changing an API, or acting on data after it receives that data under the customer instruction. The customer is responsible for maintaining valid third-party accounts and permissions.

Fees, taxes, renewals, and trials

Fees, usage limits, billing intervals, included features, renewal terms, and any trial period are stated in the applicable order or checkout. Unless the order says otherwise, subscriptions renew for the same billing interval until cancelled. Usage-based telecommunications, model, storage, payment, or provider charges may be billed separately.

Fees are exclusive of applicable taxes. The customer authorizes Lead360 and its payment processor to charge the selected payment method. Except where required by law or stated in an order, fees already paid are non-refundable. A trial exists only when Lead360 expressly offers it in an order or checkout; creating credentials alone does not create a free trial.

Ownership, licenses, and feedback

Lead360 and its licensors own the service, software, user interface, documentation, templates, system data, improvements, and related intellectual property. These Terms grant the customer a limited, non-exclusive, non-transferable right to use the service during the subscription for its internal business purposes. No source code, ownership right, or implied license is transferred.

The customer must not copy, resell, sublicense, reverse engineer, bypass restrictions, remove proprietary notices, or use the service to build a competing product except where applicable law does not permit that restriction. Feedback may be used by Lead360 without restriction or payment, provided it does not identify the customer or disclose Customer Data.

Confidentiality

Each party may receive non-public business, technical, security, pricing, or product information from the other. The receiving party will use confidential information only for the agreement, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound to protect it. Confidentiality does not cover information that is public without breach, independently developed, lawfully received without restriction, or already known without a duty of confidence.

A party may disclose confidential information when legally required after providing notice where permitted and taking reasonable steps to limit the disclosure.

Privacy, security, and health data

The Privacy Policy explains Lead360 processing as a business or controller. The Data Processing Addendum applies where Lead360 processes personal data on behalf of a customer. The Security page describes current safeguards and the shared responsibility model.

Standard Lead360 accounts are not approved for protected health information or other regulated health data. A customer must not submit PHI unless Lead360 has approved the account in writing, the parties have signed all required health-data agreements, and every relevant provider is configured and contractually eligible. The Health Data Program page is incorporated into these Terms.

Suspension and enforcement

Lead360 may limit or suspend access when reasonably necessary to prevent harm, investigate suspected misuse, protect data or infrastructure, comply with law or provider requirements, address overdue undisputed fees, or enforce these Terms. Where practical, we will give notice and an opportunity to cure. Immediate action may be taken for security threats, unlawful activity, spam, fraud, threats to persons, or material provider risk.

Term, termination, and data handling

These Terms continue while the customer uses the service. Either party may terminate as allowed by the order. A party may terminate for a material breach that is not cured within a reasonable period after written notice, or immediately where cure is not possible, insolvency occurs, or law requires termination.

After termination, account access ends. The customer should export needed data before termination. Disabled sub-accounts may remain restorable for 90 days and then become eligible for deletion under the Data Retention and Deletion Policy. Some billing, tax, security, fraud-prevention, audit, backup, provider, and legal records may remain as permitted or required. Deletion of one contact does not automatically delete every related communication, recording, payment, attribution, automation, AI memory, vector, or provider record.

Warranties and disclaimers

Each party represents that it has authority to enter the agreement. Lead360 will provide paid services with reasonable care and skill. To the maximum extent permitted by law, the service, beta features, templates, recommendations, AI outputs, public-source data, and third-party services are otherwise provided as available. Lead360 does not guarantee uninterrupted operation, any particular business result, legal compliance, deliverability, campaign approval, search ranking, lead quality, payment outcome, or that outputs will be error-free.

Nothing in these Terms excludes a warranty, remedy, or right that cannot lawfully be excluded. Customers may have statutory rights that vary by location.

Indemnity

To the extent permitted by law, the customer will defend and indemnify Lead360 and its personnel against third-party claims, penalties, losses, and reasonable costs arising from Customer Data, customer products or services, unlawful communications, missing consent, unlawful recording, customer-configured automation, customer use of AI outputs, connected services, or a material violation of these Terms or law. This obligation does not apply to the extent a claim was caused by Lead360 gross negligence, wilful misconduct, or breach of the agreement.

Lead360 will promptly notify the customer of a covered claim and provide reasonable cooperation. The customer may control the defense, but may not admit fault for Lead360 or impose a non-monetary obligation on Lead360 without written consent.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, opportunities, or data, arising from the agreement, even if advised that such loss was possible.

To the maximum extent permitted by law, each party aggregate liability arising from the agreement will not exceed the fees paid or payable by the customer for the affected service during the 12 months before the event giving rise to the claim. The limitations do not apply to payment obligations, infringement or misuse of the other party intellectual property, confidentiality breaches, indemnity obligations, fraud, wilful misconduct, or liabilities that law does not permit a party to limit.

Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Unless consumer law requires otherwise, the courts located in Windsor, Ontario have exclusive jurisdiction. Before filing a claim, each party will provide written notice and make a good-faith effort for at least 30 days to resolve the dispute.

Changes and contact

We may update these Terms to reflect product, legal, security, or operational changes. The page will show the updated date. For material changes, we will provide reasonable notice through the service, account email, or another appropriate channel. Continued use after the effective date constitutes acceptance where permitted by law.

Questions and legal notices may be sent to [email protected]. Notices to a customer may be sent to the account email or posted in the service.
