Lead360 Affiliate Program Terms and Policy
The binding terms for Lead360 affiliate eligibility, links, attribution, commission, qualification, reversals, Stripe payouts, disclosures, promotional conduct, tax, and enforcement.
These Program Terms govern every Lead360 affiliate account. They work with the main Lead360 Terms and the policy version stored with each eligible attribution.
Agreement and program documents
These Lead360 Affiliate Program Terms and Policy, referred to as the Program Terms, form a binding agreement between Lead 360 Marketing LTD., referred to as Lead360, we, us, or our, and the individual or entity registered as an affiliate, referred to as the Affiliate or you.
By clicking to accept, using an affiliate link, accessing an affiliate dashboard or portal, or requesting or accepting commission, you agree to these Program Terms and the Lead360 Terms and Conditions. The dashboard also identifies the active commission policy and any approved account-specific rate. If documents conflict, a signed affiliate agreement controls, followed by the policy snapshot stored with an eligible attribution for its rate and hierarchy, then these Program Terms, then the general Terms and Conditions.
The dashboard records the exact Program Terms version accepted by the Affiliate. Acceptance of the current version, required disclosures, tax readiness, compliance status, and an eligible payout account are conditions of payout readiness.
Referral links, clicks, and attribution
You must use the unique Lead360 referral URL or another tracking method expressly approved by Lead360. A normal website or pricing link that does not carry valid tracking cannot create affiliate attribution.
- A click may record the affiliate, landing path, referral host, campaign values, a privacy-protective visitor reference, timestamp, policy version, and expiration.
- Under the current Agency launch policy, a valid click expires after 60 days. The active dashboard policy controls if that period changes.
- An eligible checkout must begin while valid tracking remains available. Cookies can be blocked, deleted, replaced, or unavailable across browsers or devices.
- Attribution becomes locked only after the eligible paid subscription creates the referred Lead360 agency and passes validation.
- Self-referrals, an agency already attributed to another affiliate, inactive affiliates, duplicate claims, manipulated tracking, and ineligible or unpaid checkouts are rejected.
Lead360 system records determine attribution. We may review a disputed attribution using click, checkout, agency, subscription, invoice, audit, fraud, and campaign records. We are not required to override valid system attribution because a person reports that they saw another promotion.
Commission policy and eligible revenue
The active Agency launch policy currently provides a 25 percent direct commission on eligible subscription revenue for up to the first 12 successful subscription charges. It currently provides no second-tier commission. The account may show an approved custom direct rate, and no custom rate is valid unless recorded or confirmed by Lead360.
Eligible revenue is limited to the lower of the amount paid and the subscription subtotal excluding tax for an eligible paid invoice. Discounts reduce the base. Taxes, refunds, credits, voids, disputes, chargebacks, pass-through usage, provider costs, non-subscription amounts, and other excluded charges do not increase eligible revenue.
- Commission is earned from eligible customer revenue, not merely from clicks, leads, applications, free trials, recruiting another affiliate, or creating an account.
- The attribution stores the applicable policy, rate, affiliate hierarchy, and subscription relationship when eligible checkout attribution begins.
- A later policy can apply prospectively to new clicks or attributions. Existing valid attribution retains its stored policy and rate except where a correction, fraud finding, reversal, law, or signed agreement requires otherwise.
- No public statement, message, screenshot, or estimate changes the rate or creates a payment obligation unless Lead360 confirms it in the account or a signed agreement.
Qualification, reversals, and adjustments
An eligible paid invoice creates a pending commission ledger entry. Under the current Agency launch policy, the entry has a 45-day qualification period. Pending commission is not payable and can be reduced, rejected, held, or reversed before or after qualification when the underlying revenue or eligibility changes.
- A refund, credit note, void, dispute, chargeback, payment failure, duplicate event, cancellation correction, or ineligible invoice can produce a partial or full reversal.
- Lead360 Operations may create a documented manual adjustment for a verified correction or approved bonus. The adjustment remains a separate ledger record and does not overwrite the original event.
- A qualified status means the entry passed current automated qualification checks. It remains subject to payout minimums, agreement, tax, compliance, connected-account, fraud, sanctions, and legal review.
- If a reversal or correction produces a negative balance, Lead360 may carry it forward against future commission or recover an overpayment where permitted by law.
Payouts, Stripe, currency, and taxes
The Affiliate must connect an eligible Stripe account through the Lead360 payout flow and comply with Stripe terms, identity checks, country support, and account requirements. Stripe is an independent third-party service. Lead360 is not responsible for a Stripe rejection, hold, reserve, delay, conversion, fee, outage, or account restriction.
The current Agency launch policy has a 50 US dollar minimum eligible balance. Smaller balances carry forward. Reaching the minimum does not create an immediate or fixed-date payout; Lead360 Operations must create, review, approve, and send a payout batch. The dashboard or signed agreement controls any stated payout schedule.
- Payout is made only for eligible ledger entries assigned to an approved payout batch.
- Different currencies may remain separate and may not be converted unless Lead360 or the payout provider supports and records the conversion.
- The Affiliate is responsible for all income, sales, value-added, withholding, reporting, registration, and other taxes that apply to commission.
- Lead360 may request lawful tax forms or identification, withhold amounts required by law, and delay payout until required documentation is complete.
- The Affiliate must promptly report a payout error and must not keep a duplicate or mistaken overpayment.
Required disclosures and truthful endorsements
You must clearly and conspicuously disclose the financial affiliate relationship whenever it could affect how a reasonable person evaluates your recommendation. The disclosure must use plain language, appear close to the recommendation or link, be visible before or with the endorsement on every relevant device and platform, and be presented in audio or visual form when the format requires it.
- A profile biography, general legal page, brand tag, discount code, or the words affiliate link alone may not adequately explain that you can receive commission.
- Use a direct statement such as: I may receive a commission if you purchase Lead360 through this link.
- Reviews and testimonials must reflect your honest experience. Do not make a claim that Lead360 could not lawfully make or that lacks reasonable support.
- Do not promise earnings, lead volume, sales, search ranking, deliverability, regulatory compliance, feature availability, or a typical customer result.
- You are responsible for the advertising, endorsement, consumer-protection, competition, and platform rules that apply to your audience and location.
Communications, consent, and privacy
You are the sender and controller of your own promotional lists, messages, sites, pixels, forms, and audience data. Lead360 does not grant consent to contact any person. You must have and retain the consent or other lawful basis required for every marketing email, SMS, direct message, call, automated communication, cookie, pixel, and data use.
- Comply with Canada Anti-Spam Legislation and other applicable anti-spam and telemarketing rules, including consent, sender identification, contact information, and a working unsubscribe mechanism where required.
- Honor opt-out, STOP, unsubscribe, do-not-call, and consent withdrawal requests within the legally required period.
- Do not buy, scrape, harvest, or use unlawfully obtained contact lists or personal information.
- Do not place Lead360 tracking through cookie stuffing, forced redirects, hidden frames, adware, malware, browser extensions, automatic popups, or another method that records a click without a deliberate user action.
- Do not send Lead360 prospect personal information outside the approved referral and checkout flow unless you have authority and Lead360 has requested a secure transfer.
Prohibited promotion and brand use
- No false, deceptive, defamatory, discriminatory, unlawful, threatening, obscene, or misleading promotion.
- No impersonation of Lead360, its employees, support, legal team, or an official Lead360-controlled account.
- No domain, subdomain, social handle, app name, advertisement, metadata, or business identity that is confusingly similar to Lead360 or suggests ownership or authorization that was not granted.
- No fake reviews, fabricated case studies, undisclosed paid testimonials, misleading coupon pages, false scarcity, or incentives that hide the commercial relationship.
- No bidding on Lead360 trademarks or using them in paid-search display URLs unless Lead360 gives written approval.
- No promotion to children, sanctioned persons, prohibited jurisdictions, unlawful businesses, or audiences that cannot lawfully purchase or receive the service.
- No sub-affiliate, network, agency, media buyer, or contractor promotion unless you remain responsible for its conduct and Lead360 has approved any required account structure.
Lead360 grants a limited, revocable, non-exclusive, non-transferable right to use approved program links and brand materials only to promote Lead360 under these Program Terms. You may not modify logos, register marks, copy the service, create unauthorized sales materials, or claim partnership, employment, franchise, certification, or agency authority.
Records, monitoring, and audit
You must keep reasonable records of promotional placements, disclosures, consent, audience source, campaign dates, claims, contractors, and opt-out handling. Upon reasonable request, you will provide evidence needed to investigate a complaint, attribution dispute, security concern, legal request, or program compliance issue.
Lead360 may monitor public promotions and program activity, investigate unusual clicks or conversion patterns, test disclosures, contact you for correction, pause tracking, hold payout, or remove unauthorized brand use. Monitoring does not transfer your legal responsibility to Lead360.
Suspension, termination, and effect
Either party may end participation by written notice or by disabling the account where that option is available. Lead360 may immediately suspend or terminate for fraud, manipulation, self-referral, deceptive marketing, spam, brand misuse, security risk, sanctions concern, provider restriction, material breach, failure to provide required information, or conduct likely to harm customers or Lead360.
- New tracking and commission stop when the account is suspended or terminated.
- Legitimate existing entries may continue through review and qualification, subject to reversals, holds, minimums, taxes, compliance, and these Program Terms.
- Entries connected to fraud, prohibited conduct, invalid attribution, unlawful promotion, or ineligible revenue can be rejected or reversed.
- Provisions concerning records, taxes, overpayments, confidentiality, intellectual property, disputes, liability, and enforcement survive termination as needed.
Independent relationship and responsibility
The Affiliate is an independent contractor. These Program Terms do not create employment, partnership, franchise, fiduciary duty, joint venture, sales agency, or authority to bind Lead360. You control how you conduct lawful promotion and are responsible for your costs, personnel, tools, insurance, licences, registrations, and taxes.
You will defend and indemnify Lead360 and its personnel against third-party claims, penalties, losses, and reasonable costs arising from your promotions, claims, communications, data practices, contractors, tax obligations, or breach of these Program Terms or law, to the extent permitted by law. The disclaimers, liability limits, governing law, and dispute provisions in the Lead360 Terms and Conditions apply to the Program.
Changes, notices, and contact
Lead360 may update these Program Terms or the commission policy for product, economic, fraud, provider, legal, or operational reasons. The public page will show the updated date. Material changes may require a new recorded acceptance before further payout readiness. A policy change applies as stated in the new version and does not silently rewrite a valid stored attribution snapshot except where correction, fraud, reversal, law, or a signed agreement requires it.
These Program Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Unless law requires otherwise, the courts located in Windsor, Ontario have exclusive jurisdiction. Questions, notices, and program compliance reports may be sent to [email protected].
